The course discusses the role of company secretaries in promoting and reinforcing good governance across the organisation by ensuring compliance with statutory obligations and good practice. It equips students with an understanding of corporate secretarial functions. The course also deals with managing the practical and company law issues in relation to shareholders. Students will learn the law governing companies, with particular emphasis on the practical and procedural aspects. Relevant statutory requirements and other best practices, and how this underpins good governance and compliance, irrespective of sector, will be examined.

The course discusses the concepts, principles, and internal auditing techniques. It exposes students to the critical role of the internal auditor and helps them develop competencies in audit observations, planning, examination, reporting, and monitoring in internal auditing and controls. This course discusses the basic and general legal principles and rules governing key aspects of Company Law. The course increases students’ knowledge in legal matters pertaining to business set up and operations. It examines the formation of a business as a partnership, as well as the rights, responsibilities, and obligations of the partners to one another and to the business. The various ways in which companies and partnerships raise capital — either by issuing shares and debentures (capital structure in the case of companies) — are examined. The course also discusses the various ways in which companies and partnerships reorganise their capital structure, as well as how their legal status as legal entities may be terminated.

The course also examines the statistical concepts of some theories that students are studying in other related courses. It expounds on the applications of statistics in the theory of demand and supply, data presentation and characterisation, time series, correlation and regression, hypothesis testing, and elementary probability, among others.

This course is designed to equip students with practical, experiential knowledge, skills, and abilities to exhibit high professional behaviour and etiquette. The course offers final-year students the opportunity to interact with and learn from captains of industry (COIs). The course provides students with practical sessions through seminars, workshops, and other interactions with industry experts to equip them with insights and hands-on skills. The executive skills module of the course aims to train students in hands-on professional and business etiquette through top industry professionals.

Students are also expected to develop competencies to assess project risks using quantitative and qualitative techniques to enhance project success.

The course discusses the concepts, issues and practices in the governance structures of modern corporations, as well as your ability to synthesise and apply this knowledge in a cooperative working environment that promotes accountability. It provides students with a theoretical and critical understanding of the role of corporate governance and accountability in multinational corporations. It also examines corporate governance principles applied in other jurisdictions, the roles and responsibilities of directors of public corporations, financial reporting practices and the audit process, as well as financing practices considered best practice.

The course examines the concepts and content related to sustainable business development and how businesses can contribute to keeping global production and consumption within the limits of the planet. The course discusses the fundamentals of Sustainability and international perspectives and actions for achieving Sustainability in society. In addition, analysis of the Economic perspectives on Sustainability and perceived challenges highlights how sustainability concepts such as CSR, Social return on investment, and Sustainability reports influence business practices.

This module discusses the knowledge, skills and attitudes needed for effective management of boardroom dynamics in private and public institutions. It seeks to provide students with best practices and practical knowledge on boardroom issues, as well as the factors that contribute to effective boards and the sustainability of organisations. The course covers what boards and company secretaries/governance professionals can do differently and how they can influence and effect change within the remit of their role.
