    Corporate Governance: Theories and Issues

    The course provides advanced knowledge and key skills necessary for the company secretary or governance professional to act as a chief adviser to the board and other stakeholders on best practices in corporate governance, and as a facilitator of systematic application across a wide range of organisations. 

    Corporate Secretarial Practices

    The course discusses the role of company secretaries in promoting and reinforcing good governance across the organisation by ensuring compliance with statutory obligations and good practice. It equips students with an understanding of corporate secretarial functions. The course also deals with managing the practical and company law issues in relation to shareholders. Students will learn the law governing companies, with particular emphasis on the practical and procedural aspects. Relevant statutory requirements and other best practices, and how this underpins good governance and compliance, irrespective of sector, will be examined.

    Internal Audit and Controls

    The course discusses the concepts, principles, and internal auditing techniques. It exposes students to the critical role of the internal auditor and helps them develop competencies in audit observations, planning, examination, reporting, and monitoring in internal auditing and controls. It discusses the impact of information technology on internal audit of purchasing, human resources management, marketing, and financial management in private, public and non-profit sector organisations.

    Company and Partnership Law

    This course discusses the basic and general legal principles and rules governing key aspects of Company Law. The course increases students’ knowledge in legal matters pertaining to business set up and operations. It examines the formation of a business as a partnership, as well as the rights, responsibilities, and obligations of the partners to one another and to the business. The various ways in which companies and partnerships raise capital — either by issuing shares and debentures (capital structure in the case of companies) — are examined. The course also discusses the various ways in which companies and partnerships reorganise their capital structure, as well as how their legal status as legal entities may be terminated.

    Corporate Financial Analysis & Business Valuation

It develops students’ ability to analyse corporate financial statement information and to evaluate performance and make investment decisions. The course provides a foundation in corporate financial statement analysis and reporting models, ratio analysis, and economic valuation models. It equips students with the knowledge to interpret and utilise financial information for effective strategic-level corporate decision-making.

    Company Compliance and Administration

    The course provides students with the knowledge required to ensure that a company operates in accordance with good governance principles and regulations within the jurisdiction in which it operates. It covers the role of the company secretary and other board members in ensuring compliance with legislation, producing reports and maintaining documents and advice relating to shares and share capital.

    Management Information Systems

    This course provides an overview of information systems and how they are selected, designed, and managed to provide the information needed to run organisations successfully. It examines various information technologies that support business decision-making. The course stresses the competitive advantage of using IT and its return on investment. It further emphasises the role of information systems in increasing productivity, improving the quality of products and services, and ensuring the overall effectiveness of organisational operations. Information systems risks, security and control issues are also examined.

    Accounting for Managers

    This course examines the fundamental principles and concepts of accounting. It delves into the use of financial information, distinguishing between cost, management and financial accounting, the accounting equation, basic ledger postings, the double entry system for assets and liabilities, expenses and income, assets and depreciation, bad debts, provision for bad debts and discounts, bank reconciliation and control accounts to understand the key concepts and bookkeeping rules.

    Statistics for Business Decisions

    This course is designed to provide students with statistical and quantitative techniques for effective decision-making. It discusses the basic elements of statistics needed for business governance, accounting, banking, marketing, and related fields, and their various applications. The course also examines the statistical concepts of some theories that students are studying in other related courses. It expounds on the applications of statistics in the theory of demand and supply, data presentation and characterisation, time series, correlation and regression, hypothesis testing, and elementary probability, among others.

    Legal Aspects of Business

    The course introduces students to various ways in which legal rules, principles, and concepts regulate and affect business transactions and activities in Ghana, and the ramifications of such interfaces for business decisions. Students are introduced to the legal skills to analyse business operations in the Ghanaian environment and to advise on appropriate legal processes to ensure effective operations. 

    Business Leadership and Ethics

    This course provides the basis for understanding what leadership is and helps students explore the tools they can use immediately to refine strategy, develop their people, and maximise stakeholder returns. It introduces the students to the theory and practice of leadership. The course provides an overview of various philosophical approaches to ethical decision-making and practical applications of moral principles to problems arising in business. It equips students with knowledge to confront ethical issues in contemporary governance and to identify and analyse ethical issues from a domestic and global perspective. 

    Research Methods

    This course covers research methods in business decision-making. It provides students with a fundamental understanding of statistical theory and applies it to decision-making situations. The course focuses on the application of quantitative and qualitative methods, using examples from accounting, management information systems, finance, human resources, production, services, economics, and marketing, through statistical measurements, regression analysis, and sampling and hypothesis-testing techniques. 

    Strategic Management

    The course examines the concepts of strategy formulation, implementation, and monitoring and evaluation (M&E) by exploring the functions and nature of general management. It helps students to develop skills for strategic thinking and analysis, leadership, communication, teamwork, and cross-functional integration. The course also examines the challenges posed by the business environment, the direction management intends to take, the strategic plans for moving the enterprise in that direction, and the tasks required to implement the chosen strategy successfully.

    Practitioner's Forum

    This course is designed to equip students with practical, experiential knowledge, skills, and abilities to exhibit high professional behaviour and etiquette. The course offers final-year students the opportunity to interact with and learn from captains of industry (COIs). The course provides students with practical sessions through seminars, workshops, and other interactions with industry experts to equip them with insights and hands-on skills. The executive skills module of the course aims to train students in hands-on professional and business etiquette through top industry professionals.

    Project Work

    Students shall be required to undertake a research study on a chosen topic in Corporate Governance and write a project. The project would take a maximum of 6 months and total 6 credits. The project work should be between 60 and 100 pages. The font size is 12 with Times New Roman. Students are expected to use the APA referencing style.

    The course seeks to provide students with the tools, techniques and skills necessary for effective management and implementation of projects. It emphasises project planning, development, integration, and coordination of all project plans to create a consistent, coherent document. The course further equips students with project team management and leadership skills to address stakeholder issues and resolve conflicts, promoting harmony and unity of purpose in the project environment. Students are also expected to develop competencies to assess project risks using quantitative and qualitative techniques to enhance project success.

    International Corporate Governance & Accountability
    The course discusses the concepts, issues and practices in the governance structures of modern corporations, as well as your ability to synthesise and apply this knowledge in a cooperative working environment that promotes accountability. It provides students with a theoretical and critical understanding of the role of corporate governance and accountability in multinational corporations. It also examines corporate governance principles applied in other jurisdictions, the roles and responsibilities of directors of public corporations, financial reporting practices and the audit process, as well as financing practices considered best practice.

    Business Sustainability
    The course examines the concepts and content related to sustainable business development and how businesses can contribute to keeping global production and consumption within the limits of the planet. The course discusses the fundamentals of Sustainability and international perspectives and actions for achieving Sustainability in society. In addition, analysis of the Economic perspectives on Sustainability and perceived challenges highlights how sustainability concepts such as CSR, Social return on investment, and Sustainability reports influence business practices.

    Boardroom Dynamics
    This module discusses the knowledge, skills and attitudes needed for effective management of boardroom dynamics in private and public institutions. It seeks to provide students with best practices and practical knowledge on boardroom issues, as well as the factors that contribute to effective boards and the sustainability of organisations. The course covers what boards and company secretaries/governance professionals can do differently and how they can influence and effect change within the remit of their role.
